4. Japanese and English Contracts
① Japanese-Language Contracts
Contract reviews are conducted by attorneys who handle contract reviews on a daily basis.
In addition to identifying clauses that are disadvantageous or ambiguous for your company, we also use AI-powered contract review tools to ensure thorough analysis.
This enables us to point out not only problematic provisions but also clauses that ideally should have been included but were omitted.
Contracts are generally drafted in favor of the party who prepared them, so it is crucial to conduct a careful review to protect your company’s interests.
When drafting a contract, we first conduct an interview to understand the type of agreement you wish to create.
During the drafting process, we communicate any questions or unclear points by email, online meeting, or in person, and prepare the draft accordingly.
After presenting the draft, we make any requested revisions or additions through further correspondence until the contract is finalized.
② English-Language Contracts
We also review English-language contracts.
The basic approach is the same as for Japanese contracts: while reviewing the English text, we identify any clauses that are unfavorable or ambiguous for your company, and we also suggest provisions that should be added to better protect your interests.
As with Japanese contracts, English contracts are usually drafted to favor the party that prepared them. Therefore, careful review is essential to safeguard your company’s position.
When an English contract is presented by the other party, we review it in the same manner as described above.
Conversely, when your company is requested to present an English contract, we first conduct an interview to understand the intended content of the agreement.
After clarifying any questions through email, online meetings, or in-person consultations, we first prepare the Japanese version of the contract.
Once the Japanese version is finalized, we translate it into English to complete the English-language contract.
After reviewing or preparing the English contract, negotiations with the counterparty are often conducted online with the assistance of an interpreter.
If necessary, one of our attorneys can also attend and support you during these negotiations.
